This Revenue Sharing Agreement ("Agreement") is entered into between RWW Technologies Private Limited ("HostsGenZ"), a company incorporated under the Companies Act, 2013, with its registered office at G/CA 804 Aditya City, Shahpur Bamheta, Ghaziabad, UP, India 201002, and the Property Owner ("Owner") as identified at the time of property onboarding on the HostsGenZ platform.

This Agreement governs the terms under which HostsGenZ will manage the Owner's short-term rental property under the Full Management Package and the basis on which revenue earned from such management will be shared between the parties.

1. Definitions

In this Agreement, the following terms have the meanings set out below:

"Platform" means the HostsGenZ website (HostsGenZ.in), mobile application, and owner dashboard.

"Property" means the residential premises registered by the Owner on the HostsGenZ platform.

"Package" means the Full Management Package selected by the Owner, with a management fee of 40% and an owner share of 60% of Net Revenue.

"Gross Revenue" means the total booking amount received from guests, inclusive of all platform fees charged by OTA platforms.

"Net Revenue" means Gross Revenue minus OTA platform commissions (typically 12–22%), GST on platform commission, and any pre-approved property expenses.

"Owner Share" means 60% of Net Revenue payable to the Owner as per Clause 3.

"HostsGenZ Fee" means 40% of Net Revenue retained by HostsGenZ as a property management fee.

"OTA Platforms" means Airbnb, Booking.com, Agoda, MakeMyTrip, Goibibo, and any other platforms on which HostsGenZ lists the Property.


2. Appointment & Authority

2.1 The Owner hereby appoints HostsGenZ as the exclusive property manager for the Property for the duration of this Agreement.

2.2 The Owner grants HostsGenZ authority to:
• Create, manage, and modify listings on OTA Platforms
• Set, adjust, and modify nightly rates using HostsGenZ's pricing engine
• Communicate with guests on behalf of the Owner
• Coordinate guest check-ins, check-outs, and in-stay support
• Schedule and oversee professional cleaning and routine maintenance
• Approve maintenance expenses up to Up to ₹2,000/incident without prior Owner approval

2.3 For maintenance expenses exceeding the approved limit, HostsGenZ will obtain Owner approval before proceeding, except in emergency situations where delay may cause significant property damage or guest harm.


3. Revenue Split & Payout

3.1 Owner Share: The Owner shall receive 60% of Net Revenue generated by the Property in each calendar month.

3.2 HostsGenZ Fee: HostsGenZ shall retain 40% of Net Revenue as compensation for platform services described in Clause 2.

3.3 Payout Date: Owner Share payouts shall be processed on or before the 5th day of each calendar month for the Net Revenue earned in the preceding calendar month.

3.4 Payout Method: Payouts shall be made via NEFT/RTGS to the bank account registered by the Owner in the Platform. The Owner is responsible for maintaining correct bank account details.

3.5 Deductions: The following may be deducted from the Owner's payout:
• Pre-approved maintenance expenses (with invoice documentation)
• TDS (Tax Deducted at Source) as applicable under Indian Income Tax Act
• OTA damage claim deductions (if applicable, with documentation)

3.6 Payout Threshold: A minimum payout threshold of ₹500 applies. Amounts below this threshold will be carried forward to the following month.


4. Owner Obligations

4.1 The Owner warrants that:
• They are the legal owner or duly authorised representative for the Property
• The Property is permitted for short-term rental use under applicable local laws, housing society rules, and building bye-laws
• All regulatory requirements (RERA, municipal permissions, NOC) are met and maintained throughout the Agreement term

4.2 The Owner agrees to:
• Provide HostsGenZ with accurate and complete property information during onboarding
• Furnish the Property to a standard suitable for short-term guest accommodation
• Keep essential amenities (AC, geyser, Wi-Fi, cooking gas) in functional condition
• Notify HostsGenZ of any long-term personal use blocks with a minimum of 14 days advance notice
• Not directly accept bookings from guests sourced through HostsGenZ for a period of 12 months after Agreement termination


5. HostsGenZ Obligations

HostsGenZ agrees to:
• List the Property on a minimum of 3 OTA Platforms within 7 days of onboarding completion
• Provide professional photography at no additional charge during onboarding
• Manage and respond to all guest communications within 2 hours during operational hours (9am–10pm IST)
• Arrange professional cleaning after every guest checkout
• Respond to and resolve reported maintenance issues within 24 hours for urgent issues and 72 hours for non-urgent issues
• Provide the Owner with a detailed monthly payout statement by the 5th of every month
• Maintain the Owner's dashboard with real-time occupancy, booking, and earnings data


6. Term & Termination

6.1 Initial Term: This Agreement commences on the Property go-live date and continues for a minimum period of 3 months ("Initial Term").

6.2 Renewal: After the Initial Term, the Agreement automatically renews on a month-to-month basis unless terminated by either party in accordance with Clause 6.3.

6.3 Termination Notice: Either party may terminate this Agreement by providing 30 (thirty) days written notice to the other party after the Initial Term has elapsed.

6.4 Early Exit Fee: If the Owner terminates before the end of the Initial Term, a one-time administrative fee of ₹5,000 will be charged to cover onboarding and photography costs.

6.5 Effect of Termination: Upon termination, all confirmed bookings will be managed through checkout. The final payout will be processed within 15 days of the last checkout date.


7. Damage & Liability

7.1 HostsGenZ shall not be liable for guest-caused damage to the Property. Guest damage claims are governed by the relevant OTA Platform's Host Guarantee policy.

7.2 HostsGenZ will assist the Owner in filing damage claims with the applicable OTA Platform by providing documentation, photographs, and incident reports.

7.3 HostsGenZ shall not be liable for losses arising from Force Majeure events including natural disasters, platform outages, regulatory changes, or pandemic-related restrictions.


8. Confidentiality

Both parties agree to keep the financial terms of this Agreement, the revenue data, and any proprietary methods shared during the engagement confidential for the duration of the Agreement and 2 years after termination.


9. Governing Law

This Agreement is governed by the laws of India. Disputes shall first be attempted to be resolved by mutual negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Mumbai under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English.


10. Entire Agreement

This Agreement, together with the Terms of Service available at /terms and the Privacy Policy at /privacy, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, representations, and agreements.

By listing a property on the HostsGenZ platform under the Full Management Package and clicking "I Agree" during onboarding, the Owner accepts and is legally bound by the terms of this Agreement.
